Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and Conceptual Healthcare Corporation ("CHC," "we," "us"), a Florida corporation headquartered in Destin, Florida, operating the HC.exchange digital commodity trading platform. By accessing or using HC.exchange, you agree to be bound by these Terms in their entirety. If you do not agree, do not use the platform.

HC.exchange provides a marketplace for the trading of HealthCoin (HC) and HCC digital tokens on the CH Chain distributed ledger. Services include order matching, account management, KYC/AML onboarding, tax reporting, and related tools.

• You must be at least 18 years of age.
• You must be a US resident or otherwise legally permitted to trade digital commodities in your jurisdiction.
• KYC/AML verification is required for fiat currency deposits and withdrawals.
• You must not be on any OFAC sanctions list or otherwise prohibited from engaging in financial transactions under US law.
• Entities and corporations may open accounts subject to additional verification.

Each individual or entity is permitted one account. You agree to provide accurate, current, and complete information during registration and to update that information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials. CHC reserves the right to suspend or terminate accounts found to be in violation of these Terms or applicable law.

HealthCoin (HC) is a digital commodity under IRC §1221 and is not a security as defined under the Securities Act of 1933. Nothing on HC.exchange constitutes investment advice, financial advice, or a solicitation to buy or sell any asset. CHC does not set HC prices; all prices are determined by market supply and demand from participating users. CHC may impose trading limits, halt trading, or delist tokens at its discretion.

Maker and taker fee schedules are displayed on the HC.exchange platform and are subject to change with a minimum of 7 days' written notice (email or in-app notification). Continued use of the platform after the effective date of a fee change constitutes acceptance of the revised fee schedule. CHC may also charge fees for fiat withdrawals, wire transfers, and expedited services as disclosed on the fee schedule page.

• Digital asset deposits are credited after the required number of network confirmations for each respective chain.
• Fiat withdrawals require completed KYC/AML verification, a valid W-9 on file, and may be subject to processing delays.
• HC.exchange issues IRS Form 1099-B for dispositions of HC and HCC tokens that meet or exceed applicable IRS reporting thresholds.
• Wellness-earned HC has a zero cost basis and is treated as ordinary income at fair market value at the time of receipt per IRC §61.

Health activity data used to earn HC (steps, clinical visit records, wellness metrics) is processed exclusively within the Guardian Orb™ HIPAA-covered health system operated by CHC. HC.exchange receives only the resulting HC token balance — no Protected Health Information (PHI), diagnoses, lab results, or clinical records are transmitted to or stored on the exchange. Exchange account data (name, email, trading activity) is governed by these Terms and our Privacy Policy, not by HIPAA, unless otherwise specified.

The following activities are strictly prohibited and may result in immediate account termination and referral to law enforcement:

• Market manipulation, including wash trading, spoofing, and layering
• Use of the platform by OFAC-sanctioned persons or entities
• Money laundering, structuring transactions to evade reporting, or financing terrorism
• Unauthorized automated trading bots without prior written approval from CHC
• Circumventing KYC/AML controls through false identities or proxy accounts
• Any use that violates applicable federal, state, or international law

The following are trademarks and service marks of Conceptual Healthcare Corporation, registered or pending registration in the United States: "HC.exchange"™, "Health Commodity Exchange"™, "HealthCoin"™, "Guardian Orb"™, "CH Chain"™, and "HEALTHCOIN"™. All platform software, designs, data, and content are the proprietary property of CHC or its licensors. Unauthorized reproduction or use is strictly prohibited.

Trading digital commodities involves substantial risk, including the possible loss of your entire investment. CHC is not liable for trading losses, market downturns, exchange outages, or actions taken by third parties. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHC'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID TO CHC IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

These Terms are governed by the laws of the State of Florida, without regard to conflicts of law principles. Any disputes arising from these Terms shall be resolved by binding arbitration in Okaloosa County, Florida, under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

CHC reserves the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification with at least 14 days' advance notice. Continued use of HC.exchange after the effective date of any change constitutes your acceptance of the updated Terms.
